(NASDAQ:AVID) today announced that it has completed the previously announced acquisition of Irwindale, CA-based M-Audio - a leading provider of digital audio and MIDI solutions for electronic musicians and audio professionals. M-Audio is now a business unit of Avid's Digidesign audio division, and will market its line of computer audio products alongside Digidesign's award-winning digital audio workstations for the professional and home/hobbyist markets.

Avid Technology Inc. is buying Irwindale-based Midiman Inc. for $80 million in cash and about $84.5 million in stock.

The Tewksbury. Mass.-based digital video editing technology company announced the acquisition of Midiman, which does business as M-Audio, Friday.

The deal also includes earnout provisions of $20 million and $25 million in Avid stock, payable to M-Audio shareholders on Jan. 31, 2005, and Dec. 31, 2004, based on the successful achievement of financial milestones for the sale of M-Audio products.

Privately held digital audio technology company M-Audio was started in 1988. The company has 200 employees and has been developing and selling products that enable high-quality digital home audio recording.

M-Audio founder and CEO Tim Ryan will become general manager of the M-Audio business unit of Digidesign, a division of Avid. Digidesign and M-Audio's digital audio technologies are complementary, with Digidesign targeting the professional market and M-Audio the home consumer market.

M-Audio had sales of $51.5 million in its fiscal year, which ended Jan. 31. It is expected to add more than $20 million in sales to Avid's top line for the second half of the year.

Avid expects the deal to close later this month for revenue in the third quarter to be near $143.5 million and in the fourth quarter, $162.5 million. Sales for 2004 are estimate to be at $573 million.

Avid predicts income of 47 cents per share in the third quarter, 51 cents in the fourth and $1.88 for the full year. The company expects to end the current quarter with $125 million in cash and the fourth quarter with $150 million.

As a result of this deal in 2005 Avid expects income of $2.32 per share on revenue over $700 million.
